SoftInWay, Inc. is a global, fast-growing software company at the forefront of aerospace and green energy. With steady growth in all aspects of our company, we are looking for a qualified in-house Legal Counsel to assist our team of talented professionals.
General
- Proactively identify legal and reputational risks and recommend solutions that balance risk with business impact
- Keep leadership informed of legislation and regulatory rulings that may affect the company’s business
- Prepare and assist with company filings
- Provide legal advice on special projects such as acquisitions and divestitures
- Develop and conduct training programs to educate employees and promote an ethical and compliant culture
- Oversee and consult with outside counsel, as needed
Intellectual Property Law
- Establishing and protecting intellectual capital
- Licensing inventions
- Drafting licensing agreements
- Negotiating settlements
- Conducting IP asset due diligence
Contract Law
- Review and negotiate vendor and client contracts, as well as agreements related to business development and requests for proposals
- Address legal queries from business teams relating to customer relationships, compliance, intellectual property, and privacy topics
- Provide legal guidance on contract interpretation and related issues
- Gather information on business issues to ensure agreements accurately describe business capabilities and address the legal risks associated with the company’s business relationships
- Manage legal risks and provide solutions for resolving customer complaints
Export Control Law
- Developing and implementing export compliance programs designed to facilitate export transactions that withstand government scrutiny
- Drafting contractual assurances, technology control plans, and transaction and customer screening procedures
- Performing or directing internal compliance reviews
- Assessing export jurisdiction and classification, and drafting commodity jurisdiction (CJ) and commodity classification requests
- Assisting with license and agreement applications
Qualifications
- Juris Doctor or LLM from an accredited law school. Licensed to practice law in the U.S.
- A minimum of 5-7 years of experience
- Strong preference for in-house corporate legal experience
- Able to clearly articulate pragmatic solutions to complex legal and business challenges
- Experience building relationships and partnering with multiple stakeholders at various organizational levels
- Able to handle sensitive and confidential situations and documentation
- Strong knowledge of MS Office (Outlook, Word, Excel, PowerPoint)
