
Fox Williams LLP is pleased to announce that it advised Brillian UK Limited, part of the Omegro portfolio within the Volaris operating group of long-term client Constellation Software Inc. (TSX:CSU), on its recommended cash acquisition of Trakm8 Holdings PLC. Trakm8, which was listed on the AIM market of the London Stock Exchange, is a UK-based provider of fleet management and insurance telematics solutions. The acquisition, valued at approximately £7.76 million, was structured as a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006, which became effective on 9 July 2025.
Under the terms of the acquisition, which was announced on 1 May 2025, Trakm8 shareholders will receive 9.5 pence in cash for each Trakm8 share, representing a 280% premium over the closing share price of 2.50 pence on 30 April 2025.
The acquisition was unanimously recommended by the boards of both Brillian UK and Trakm8. Shareholders representing approximately 53.79% of Trakm8’s issued ordinary share capital, including directors holding 23.11% irrevocably undertook to vote in favour of the transaction.
The move to private ownership is expected to provide Trakm8 with strategic and operational flexibility to drive growth and innovation in fleet management, route optimisation, and insurance telematics, leveraging Brillian UK’s expertise and resources within the Omegro portfolio.
