Brazil approves American Airlines’ $100M investment in Azul


Brazil’s competition authority has cleared American Airlines’ planned investment in Azul, allowing the US carrier to acquire a minority stake in the Brazilian airline as part of its restructuring process.

Brazil’s Administrative Council for Economic Defense (CADE) has approved American Airlines’ planned US$100 million investment in Azul without imposing any conditions, concluding that the transaction is unlikely to harm competition in the country’s aviation market.

The recent approval allows American Airlines to acquire an 8.66% equity stake in Azul as part of the Brazilian carrier’s ongoing financial restructuring under Chapter 11 proceedings in the United States. The investment also gives the US carrier the right to appoint one member to Azul’s board of directors and a representative to one of the airline’s strategic committees.

In its review, CADE also assessed the commercial cooperation planned between the two carriers, which includes expanded codeshare operations, reciprocal frequent flyer program benefits, and access to shared airport lounges.

Although the regulator identified overlapping routes between São Paulo and Rio de Janeiro, as well as the US destinations of Miami and Orlando, it concluded that the two airlines do not compete closely enough on those markets for the transaction to raise antitrust concerns. CADE also found that passengers would continue to have access to alternative airlines on the affected routes.

The competition authority also rejected concerns raised by Abra Group, the parent company of Gol and Avianca, which argued that the investment could weaken competition by influencing American Airlines’ traffic flows in Brazil. CADE determined that Azul’s domestic network largely complements, rather than directly overlaps with, Gol’s operations and found no indication that the transaction would alter American’s existing commercial relationship with Gol.

Unless the decision is appealed or referred for further review by CADE’s tribunal, the approval will become final, allowing the investment to proceed.
